Welcome to ZoomPros.guru! These Terms of Service (“Terms”) govern your access to and use of the ZoomPros.guru website (the “Site”) and any services provided through the Site (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Services, you agree to be bound by these Terms and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this site, and it is your sole responsibility to do so. Any failure to do so will be deemed an acceptance of these Terms.

2. Description of Services

ZoomPros.guru provides a marketplace for Zoom customers to find professional Zoom producers for professional productions using Zoom Meeting, Zoom Webinar, and Zoom Events. The platform itself is free of charge, and transactions between customers and producers are conducted directly. ZoomPros.guru is not a party to any transaction between users of the site ,and shall not be deemed a party, finder, mediator or otherwise.

Any and all use of such third-party services shall be done solely at your own risk and responsibility and may be subject to such legal and financial terms which govern such third party services, which you are encouraged to review before engaging with them. You acknowledge that there are risks in using the Services and/or connecting and/or dealing with any third party services through or in connection with Services, and that ZoomPros.guru cannot and does not guarantee any specific outcomes from such use and/or interactions, and you hereby assume all such risks, liabilities and/or harm of any kind arising in connection with and/or resulting from such interactions. Such risks may include, among others, misrepresentation of information about and/or by third party services, breach of warranty and/or contract, violation of rights, and any consequent claims.

ZoomPros.guru does not in any way endorse any such third party services, or shall be in any way responsible or liable with respect thereto. ZoomPros.guru will not be a party to, or in any way be responsible for monitoring, any interaction or transaction between you and any third-party services.

3. User Conduct

You agree to use the Services only for lawful purposes and in accordance with these Terms. You will not use the Services to:

Violate any laws or regulations
Infringe upon the rights of others
Engage in any fraudulent, deceptive, or misleading activities
Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable

4. Intellectual Property Rights

All rights, title and interest in and to the Services, including any and all copyrightable materials or any other content thereof which is or may be subject to any intellectual property rights under any applicable law (including any artwork, graphics, images, website templates and widgets, literary work, source and object code, computer code (including html), applications, audio, music, video and other media, designs, animations, interfaces, documentation, derivatives and versions thereof, the “look and feel” of the Services, methods, products, algorithms, data, interactive features and objects, advertising and acquisition tools and methods, inventions, trade secrets, logos, domains, customized URLs, trademarks, service marks, trade names and other proprietary identifiers, whether or not registered and/or capable of being registered (collectively, “Intellectual Property”), and any derivations thereof, are owned by and/or licensed to ZoomPros.guru.

5. Feedback and Suggestions

If you provide us with any suggestions, comments or other feedback relating to the Services (whether existing, suggested or contemplated), which is or may be subject to any Intellectual Property rights (“Feedback”), such Feedback shall be exclusively owned by ZoomPros.guru. By providing such Feedback to ZoomPros.guru, you acknowledge and agree that it may be used by ZoomPros.guru in order to: (i) further develop, customize and improve of the Services, (ii) provide ongoing assistance and technical support, (iii) contact you with general or personalized ZoomPros.guru -related notices and/or interview requests based on your feedback or otherwise, (iv) facilitate, sponsor and offer certain promotions, and monitor performance, (v) to create aggregated statistical data and other aggregated and/or inferred information, which ZoomPros.guru may use to provide and improve its services, (vi) to enhance ZoomPros.guru data security and fraud prevention capabilities, and (vii) to comply with any applicable laws and regulations. In addition, you (1) represent and warrant that such Feedback is accurate, complete, and does not infringe on any third party rights; (2) irrevocably assign to ZoomPros.guru any right, title and interest you may have in such Feedback and (3) explicitly and irrevocably waive any and all claims relating to any past, present or future moral rights, artists’ rights, or any other similar rights worldwide in or to such Feedback.

6. Limitation of Liability

ZoomPros.guru is not responsible for the conduct of any user of the site. We do not guarantee the quality or suitability of any producer found through the site, and we are not responsible for any transactions or agreements made between users. IN NO EVENT SHALL ZOOMPROS.GURU, ITS OWNERS, OPERATORS, STAKEHOLDERS, EMPLOYEES, OFFICERS OR SUPPLIERS BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA OR PROFIT, OR DUE TO BUSINESS INTERRUPTION) ARISING OUT OF THE USE OR INABILITY TO USE THE SERVICES.

UNDER NO CIRCUMSTANCES SHALL ZOOMPROS.GURU BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, ARISING OUT OF OR RELATING TO THESE TERMS AND THE RELATIONSHIP CONTEMPLATED HEREBY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. Term

ZoomPros.guru reserves the right to cease, suspend, stop or permanently terminate the Services and/or these Terms, for any reason, without providing you a prior notice of any sort.

You may terminate the Terms by permanently stopping to use the Services hereunder, and provided that sections that by their nature shall apply even following such termination shall remain in full force and effect.

8. Indemnification

You agree to indemnify and hold harmless ZoomPros.guru and its owners, operators, affiliates, officers, agents, and employees from any claim or demand, including reasonable attorneys’ fees, made by any party due to or arising out of (i) your use of the Services, (ii) violation of these Terms, (iii) violation of any rights of another, (iv) any breach of applicable laws or regulations, or (v) negligence or misconduct.

This section shall survive the expiration or termination of these Terms for any reason.

9. Changes to Terms

ZoomPros.guru reserves the right to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. The applicable courts in Tel Aviv, Israel, shall have the sole and exclusive jurisdiction with respect to any and all claims or disputes arising out of in connection with these Terms.

11. Entire Agreement

These Terms together with any mutually agreed addenda constitute the entire agreement between the parties concerning the subject matter herein and supersede any and all prior communications and agreements whether written or oral concerning the subject matter hereof. Each party hereby acknowledges that no reliance is placed on any representation made but not referenced in these terms. No purchase order or other text that purports to modify or supplement the terms of these terms will add to or vary them.

12. Enforceability

If any provision of these Terms is held to be unenforceable, then such provision will be reformed to the extent necessary to make it enforceable, and such holding will not impair the enforceability of the remaining provisions.
